Terms of Service
By using the resmet.com web sites (“Service”), all services Perpetuating Technologies, LLC, you are agreeing to be bound by the following terms and conditions (“Terms of Service”).

Perpetuating Technologies, LLC reserves the right to modify the terms and conditions of this Agreement or its policies relating to the Service at any time, effective upon posting of an updated version of this Agreement on the Service. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes.

LICENSE GRANT & RESTRICTIONS
Perpetuating Technologies, LLC hereby grants you a non-exclusive, non-transferable, worldwide right to use the Service, solely for your own internal business purposes, subject to the terms and conditions of this Agreement. All rights not expressly granted to you are reserved by Perpetuating Technologies, LLC and its licensors.

You shall not (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party the Service or the Content in any way; (ii) modify or make derivative works based upon the Service or the Content; (iii) create Internet "links" to the Service or "frame" or "mirror" any Content on any other server or wireless or Internet-based device; or (iv) reverse engineer or access the Service in order to (a) build a competitive product or service, (b) build a product using similar ideas, features, functions or graphics of the Service, or (c) copy any ideas, features, functions or graphics of the Service.

You agree to be bound by certain rules which are important for the proper use of the service. Your failure to follow these rules, whether listed below in the contract or in bulletins posted at various points in the system, may result in termination of your service. First, do not tell others your password or let your account be used by anyone except yourself. Second, do not attempt to log in more than once at the same time on any given account without specific permission of a Perpetuating Technologies, LLC operator. Third, while you should feel free to express yourself, you should respect other users of the system and not do anything to attack or injure others. Fourth, do not use our system to commit a crime, or to plan, encourage or help others commit a crime, including crimes relating to computers.

You may use the service only for your internal business purposes and shall not: (i) send or store infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including material harmful to children or violative of third party privacy rights; (ii) send or store material containing software viruses, worms, Trojan horses or other harmful computer code, files, scripts, agents or programs; (iii) interfere with or disrupt the integrity or performance of the Service or the data contained therein; or (iv) attempt to gain unauthorized access to the Service or its related systems or networks.

ACCOUNT INFORMATION AND DATA
Perpetuating Technologies, LLC does not own any data, information or material that you submit to the Service in the course of using the Service ("Customer Data"). You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all Customer Data, and Perpetuating Technologies, LLC shall not be responsible or liable for the deletion, correction, destruction, damage, loss or failure to store any Customer Data. In the event this Agreement is terminated (other than by reason of your breach), Perpetuating Technologies, LLC will make available to you a file of the Customer Data within 30 days of termination if you so request at the time of termination. Perpetuating Technologies, LLC reserves the right to withhold, remove and/or discard Customer Data without notice for any breach, including, without limitation, your non-payment. Upon termination for cause, your right to access or use Customer Data immediately ceases, and Perpetuating Technologies, LLC shall have no obligation to maintain or forward any Customer Data.

PAYMENT

1. A valid credit card is required for paying accounts.
2. Perpetuating Technologies, LLC charges and collects in advance for use of the Service. Perpetuating Technologies, LLC will automatically renew and bill your credit card or issue an invoice to you (a) every month for monthly licenses or (b) as otherwise mutually agreed upon. The renewal charge will be equal to the license fee in effect during the prior term, unless Perpetuating Technologies, LLC has given you at least 30 days prior written notice of a fee increase, which shall be effective upon renewal and thereafter. Fees for other services will be charged on an as-quoted basis. Perpetuating Technologies, LLC fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.
3. You agree to provide Perpetuating Technologies, LLC with complete and accurate billing and contact information. This information includes your legal company name, street address, e-mail address, and name and telephone number of an authorized billing contact. You agree to update this information within 30 days of any change to it. If the contact information you have provided is false or fraudulent, Perpetuating Technologies, LLC reserves the right to terminate your access to the Service in addition to any other legal remedies.
4. If you believe your bill is incorrect, you must contact us in writing within 60 days of the invoice date of the invoice containing the amount in question to be eligible to receive an adjustment or credit.

CANCELLATION AND TERMINATION

1. Any breach of your payment obligations or unauthorized use of the RESMET Technology or Service will be deemed a material breach of this Agreement. Perpetuating Technologies, LLC, in its sole discretion, may terminate your password, account or use of the Service if you breach or otherwise fail to comply with this Agreement. In addition, Perpetuating Technologies, LLC may terminate a free account at any time in its sole discretion. You agree and acknowledge that Perpetuating Technologies, LLC has no obligation to retain the Customer Data, and may delete such Customer Data, if you have materially breached this Agreement, including but not limited to failure to pay outstanding fees, and such breach has not been cured within 30 days of notice of such breach.
2. If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again. The charges for the current month will not be pro-rated or refunded to you.
3. In the event this Agreement is terminated (other than by reason of your breach), Perpetuating Technologies, LLC will make available to you a file of the Customer Data within 30 days of termination if you so request at the time of termination.
4. Perpetuating Technologies, LLC, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Perpetuating Technologies, LLC service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. Perpetuating Technologies, LLC reserves the right to refuse service to anyone for any reason at any time.

PROPRIETARY RIGHTS
Your use of our system affords you access to many of the features of our system, but some aspects of our system remain within our exclusive proprietary control. We or our suppliers own the intellectual property rights to any and all protectable components of our system, including but not limited to the computer software, the related documentation, the "look and feel," the end-user interfaces, the name of our system, many of the individual features, and the collective works consisting of sequences of all public messages on our system. You may not reproduce any sequence of messages from our system, either electronically or in print, without our permission. In addition; you may not copy, modify, adapt, reproduce, translate, distribute, reverse engineer, decompile or dissemble any aspect of the system which we or our suppliers own. This Agreement is not a sale and does not convey to you any rights of ownership in or related to the Service, the RESMET Technology or the Intellectual Property Rights owned by Perpetuating Technologies, LLC.

DISCLAIMER OF WARRANTIES
The system is provided "as is" and we make no warranties, express or implied, as to the merchantability, fitness for a particular use or Purpose, title, non-infringement or any other warranty, condition, guaranty, or representation, whether oral, in writing or in electronic form, including but not limited to the accuracy or completeness of any information contained therein or provided by the service.

INTERNET DELAYS
Perpetuating Technologies, LLC’s services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. Perpetuating Technologies, LLC is not responsible for any delays, delivery failures, or other damage resulting from such problems.

LIMITATION OF LIABILITY
Your use of the service is entirely at your sole risk. We will not be responsible to you or any third parties for any direct or indirect, consequential, special or punitive damages or losses you may incur in connection with our system, your use thereof or any of the data or other materials transmitted through or residing on our system, regardless of the type of claim or the nature of the cause of action, even if we have been advised of the possibility of such damage or loss.
